五、押金

1. 为确保房屋及其附属设施之安全与完好,及租赁期内相关费用之如期结算,乙方同意于 年

2. 除合同另有约定外,甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的当天将押金全额无息退还乙方。

3. 因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用,甲方可在押金中抵扣,不足部分乙方必须在接到甲方付款通知后十日内补足。

4. 因甲方原因导致乙方无法在租赁期内正常租用该物业,甲方应立即全额无息退还押金予乙方,且乙方有权追究甲方的违约责任。

六、甲方义务

1. 甲方须按时将房屋及附属设施(详见附件)交付乙方使用。

2. 房屋设施如因质量原因、自然损耗、不可抗力或意外事件而受到损坏,甲方有修缮并承担相关费用的责任。如甲方未在两周内修复该损坏物,以致乙方无法正常使用房屋设施,乙方有权终止该合约,并要求退还押金。

3. 甲方应确保出租的房屋享有出租的权利,如租赁期内该房屋发生所有权全部或部分转移、设定他项物权或其他影响乙方权益的事件,甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者能继续遵守本合同所有条款,反之如乙方权益因此遭受损害,甲方应负赔偿责任。

4. 甲方应为本合同办理登记备案手续,如因未办理相关登记手续致该合同无效或损害乙方租赁权利,应由甲方负责赔偿,且甲方应承担该合同相关的所有税费。

七、乙方义务

1. 乙方应按合同的规定按时支付租金及押金。

2. 乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。

3. 未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。

4. 乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。

5. 乙方应承担租赁期内的水、电、煤气、电话费、收视费、一切因实际使用而产生的费用,并按单如期缴纳。

八、合同终止及解除的规定

1. 乙方在租赁期满后如需续租,应提前一个月通知甲方,由双方另行协商续租事宜。在同等条件下乙方享有优先续租权。

2. 租赁期满后,乙方应在 日内将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。

同下为此做全面保证。乙方不保证使用该译文一定可达到何种结果,亦不对由此产生的直接或间接的结果负责,甲方如认为所接收的译文存有缺陷,应在确认期内通知乙方,逾期无效。乙方对甲方指出的译文缺陷,应尽快修改完善。如果在甲方指出缺陷后乙方未能在指定的时间内纠正改善或修改后仍然存在严重的错误,乙方应该将翻译总费用的5%退还给甲方。

九、有限责任:乙方在本合同下负有如下有限责任:

(1)乙方为甲方提供的原文资料永久保密,不得擅自将原文资料及其内容透露给第三方,也不得擅自将这些机密资料用作他途;否则甲方保留其诉诸法律的权利

(2)乙方保证译文语句流畅,符合成文语言的语法规则和习惯;并尽最大的可能使译文与原文含义一致。

十、免责条款:乙方在本合同下对下列事件不负任何直接或连带责任:

(1)因甲方侵犯第三方版权/专利权而引起的第三方的一切及任何损失;

(2)因原文中存有错误而引起的一切及任何损失;

(3)因译文与原文一致而引起的一切及任何损失;

(4)因甲方收到译文后自行改写或丢失所引起的一切及任何损失。

十一、甲方逾期交款,无正当理由者,则按日交纳所欠金额的千分之五作为违约金。本合同中如有其它未尽事宜,双方协商解决。协商不成,据《_民法典》处理。

十二、合同终止:乙方交清译成资料,甲方交清服务费用,确认期满后本合同自行终止(第九条除外)。如经甲乙双方协商,或因一方违约,或因不可抗力影响,双方同意不再继续合同的,合同将中止执行。

五、甲方的义务Obligations of Party A:

3. 在乙方遵守本合同的条款及交付租金的前提下,如非中国法律特别规定,乙方有权于租赁期内拒绝甲方或其他人骚扰而安静享用出租房屋。

Provided Party B paying the rent and performing and observing Party B’s terms and conditions herein contain shall peaceably hold and enjoy the leased property throughout the term of this Agreement without any interruption by Party A or any other person save and except as required by the law of the People’s Republic of China.

4. 房屋基本设施和结构(不包括乙方损坏的家私和器具)损坏时,甲方有修缮的责任并承担有关的费用,并对其作定期修保。

Party A is responsible for repairing and maintaining the basic facilities (excluding furniture and appliances damaged by Party B), the structure of the leased property and for bearing all costs related thereto.

5. 甲方谨在此声明及保证甲方为出租房屋的合法拥有人并有合法地位出租此房屋予乙方。就本合同及出租此房屋予以乙方之事,甲方已取得所有有关机构的批准,包括政府批准及抵押权人的同意(如适用)。甲方于本合同所做出的声明及保证,如有错误或违反者,甲方须就乙方因此而引致的任何损失、损害、支出及费用做出全部补偿。 Party A hereby represents and warrants that Party A is legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. 六、乙方的责任 Obligations of Party B:

If, as a result of party B’s negligence or misconduct, the leased property and the related facilities suffer any damage (fair wear and tear exempt), Party B shall be responsible for compensating Party A for such damages.

4. 乙方应按本合同的约定合法使用租赁房屋,不得擅自改变使用性质,不应存放_法律下所禁止的危险的物品,如因此发生损害,乙方应承担全部责任。Party B shall use the leased property legally as agreed in this Agreement and may not change such use on its own. Party B shall not store any dangerous items which are prohibited by the laws in the People’s Republic of China in the leased property and shall be fully responsible for any damages or losses as a result thereof.

5. 未经甲方事先书面同意,乙方不得将承租的房屋转租或分租给其他的第三方.

七、违约处理Breach of Agreement:

1. 甲、乙任何一方在未征得对方谅解的情况下,不履行本合同规定条款,导致本合同中途中止,则视为该方违约,双方同意违约金为人民币元整(¥ ),若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。 During the lease term, any party who fails to fulfill any article of this contract without the other party’s (¥party in breach should pay additional compensation to the other party.

八、不可抗力 Force Majeure:

若由于不可抗拒的自然灾害(包括但不限于火灾、洪水、地震、施工、敌对、瘟疫等行为等)

获其他非乙方过错所造成的对本物业的损毁致其无法居住或使用本物业,乙方有权终止本组契约,甲方

九、适用法律Applicable Law:

本合同的成立,其有效性,解释,签署和解决与其有关的一切纠纷均应受中国法律的管辖并依据中国法律解释。The formation of this Agreement, its validity, interpretation, execution and settlement of any disputes arising hereunder shall be governed by and construed in accordance with the laws of the People’s Republic of China.

十、争议的解决 Dispute Resolution:

二、租赁标的:

五、押金:

七、乙方责任:

4. this commercial residential building obtained the approval documents of commercial residential handover for usage.

But in case of the following exceptional reasons, except for both parties agree the termination or alternation of contract, the seller can prolong the deadline as per actual fact.

1. encountered with majeure, and seller informed the buyer within 30 days after the majeure occurs;

2. the seller caused the project cannot be finished on time because of non-controllable reasons.

3. If the delay is because of the above cases, this article is also applicable.

Article9 responsibility of delay in handover apartment

Except for the special cases stipulated in article8, if the seller cannot handover the apartment to buyer in the stipulated schedule in this contract, the buyer should be treated in the following 1st&2nd mode:

1. According to the overdue time, the seller should be treated separately( not

be accumulated)

1) For overdue date less days, from the 2nd day of deadline

stipulated in article8 to the payment day, the buyer should pay _____% default fine of the already effected payment, this contract will be performed continuously.

in case the premise and attached facilities are damaged by quality problems, natural damages or disasters, party a will be responsible to repair and pay the relevant expenses.

七、 乙方义务 obligations of party b

八、 合同终止及解除的.规定 termination and dissolution of the contract

PARTY A shall bear the responsibility of the said premises’ normal repairs and maintenance, and pay the cost related. In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.

6 承租方的责任 PARTY B’S obligations:

乙方申明及保证其在中国拥有合法居留权,并按有关规定办理必要的居住登记手续。

PARTY B assures to have the legal right of residence in China, and shall complete the residential formalities complying with the local regulations.

住客应按时支付电话费含上网费、水电煤气费。

The occupant shall pay the telephone bills and internet fee, extra water electricity gas fee on time.

乙方只能将出租房屋用做住宅,不得将之用作公司及代表处的注册地址,亦不可作为公开的办公室。 The premises are limited for residential use only by PARTY B, and are prohibited from registering as legal address for any company or agency, or using as public office.

乙方不得在出租房屋内进行违反法律及政府对出租房屋用途有关规定的行为。

PARTY B shall not carry in the premises any unlawful or illegal activities which are not allowed according to the leasing regulations from the government.

租赁期内,未经甲方书面同意,乙方不得将出租房屋部分或全部转租他人。

PARTY B shall not partly or totally sublet the said premises without the written permission from PARTY A.

若因乙方使用不当或不合理使用,出租房屋及其内的设施出现损坏或发生故障,乙方应及时联络管理机构或甲方进行维修,并负责有关维修费用.

The damage of the premises or the fittings that are within the control of PARTY B shall be borne by PARTY B, and PARTY B shall contact the management office or PARTY A instantly.

PARTY B, upon written permission of PARTY A, may make additions or alterations dealing with water,

electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of PARTY A .No structural alterations or additions can be removed from the premises upon the expiration of this contract. No reimbursement for the said additions.

乙方有权在墙壁上悬挂画、图片或其他装饰性物品。合同履行期限届满或提前解约时,甲方应承担费用拔掉钉子、粉刷墙壁或使墙壁恢复原状,并承诺不以此为由扣留乙方的押金。

PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.

7 提前解约Early termination:

若因自然界的不可抗力,如火灾、洪水、台风、地震、战争等意外损害导致出租房屋无法居住,合同即自动终止,甲、乙双方互不承担责任。

If the said premises are so damaged by force majeure (fire, flood, typhoon, earthquake, war, and etc) that it’s no longer habitable, the contract shall be terminated automatically. Neither PARTY A nor PARTY B shall bear any responsibility to each other.

8 续租 Renewal:

十、 其它条约(Other Terms):

1、 乙方须按上述规定交付保证金于甲方,于租约终止或期满时,甲、乙双方不再续约,乙

方在付清全部租金及公用事业费后,保证金(不计利息)得凭原收据领回。

4、 乙方不得在该物业之内任何地内存放违反危险品条例之物品,例如军械、火药、璜硝、

汽油, 有爆炸危险性的物品及挥发性之化工原料等等, 另乙方不得在该物业内做任何

违反中国法律行为。否则,一切后果,由乙方负责。

Party B shall not store arms, ammunition or unlawful goods, gun-powder, saltpeter, kerosene

or any explosive or combustible substance, etc. in any part of the said premises, the tenant or inmate shall not use the said premises for any illegal purposes, for violation against the law of People’s Republic of China in any part of the said property, Party B shall be answerable and responsible for any consequence of any breach of local ordinance.

5、 乙方须正确维护该物业内甲方所提供之家具、电器、装置及设备、该物业之原来一切设

备如有因非正当使用造成的损坏,乙方须负责修理或赔偿。

To keep the interior of the said premises and furniture, fixtures and fittings provided by Party A in condition of normal use throughout the tenancy, if any damages made by any abnormal use, Party B is responsible for the repair or reimbursement.

6、 乙方不得拒绝甲方派谴之人员,在适当时间入屋检视该单位近况或进行任何修理工程。

Party B shall permit Party A and its agents with or without workmen or others and with or without appliances at all reasonable times to enter upon the said premises and to view the condition thereof and to take inventories of the fixtures therein and to carry out any repairs to the premises which Party A considers necessary or proper to be done.

7、 当租约期满或终止前X个月,甲方有权在不骚扰原则下, 张贴招租告示于该单位外,

乙方亦应准许甲方/代理人在合理时间内,带同新租客进入该物业视察。

8、 租约期满,乙方如需延长租约,须在租约期满 X 个月前以书面方式通知甲方,经甲

方同意,乙方可以新订租金和租约继续入住该物业。

9、 乙方须自行投买风灾, 水灾, 火灾, 盗窃, 意外保障等等, 乙方如在该单位内有任何损失,

Party B shall himself cover insurance for his own belongings against Typhoon, Depression, Storm, Flood, Fire, Theft, Accidents, etc. in relation to this Tenancy. Party A shall not be responsible for any damage or loss under all circumstances.

10、 乙方不得于单位内制造或容许制造噪音, 异味或任何滋扰邻居或业主安宁之举动, 其中

包括拖欠租金。经警告后仍未有所改善, 甲方有权终止租约。

Party B shall not permit any noise or allow any music to be produced in the premises so as to give cause for reasonable complaint from the occupants of neighboring premises, otherwise, Party A has the right to terminate the tenancy immediately if case continued after advised. 11、

12、 甲方须承担该物业的房产税、土地使用税。 Party A shall pay all property tax, land tax and any other tax or charge of the said premises. 租约期内,甲方有权将该物业出售给第三者,本合约对购得该物业之新业主仍然有效,

所有适用于甲、乙双方的条款,同样无条件适用于新业主和乙方。

During term of tenancy, Party A shall have the right to sell the said premises to the third party. The terms and conditions here in contained which applicable to Party A and Party B must be applicable to the new landlord and Party B without negotiation.

13、 本合约之附件,包括:家具装置设备清单、房屋所有权证副本,租赁协议书,均为本合

约不可分割的成部分。

The attachments, including Furniture Fixture, Appliances List Title Certificate., Property Certificate and Offer letter forms an integrate part of the agreement.

14、 本租约适用_法律、自甲、乙双方签章后,双方均应遵守本租约规定的各

项条款,如发生争议,双方不能完满解决,将依照_有关法律仲裁解决。 The agreement is construed in accordance with laws of People’s Republic of China (PRC). 5:Lease Term租赁条件:

:THE LESSEE shall not carry in the premises any unlawful of illegal activities which are not allowed according to China laws and the leasing regulations of the government. Otherwise, THE LESSOR shall have the right to take back the premises after a prior written notice to THE LESSEE.

乙方不得在出租房屋内进行违反中国法律及政府对出租房屋用途有关规定的行为,否则甲方有权在书面通知乙方后收回房屋。

:THE LESSEE shall not partly or totally sublet, sell, lend, mortgage, exchange, exchange the said premises or use it so as to raise any joint-venture or become a certain shareholder without the written permission from THE LESSOR. Otherwise, THE LESSOR can terminate the contract and confiscate the deposit. THE LESSEE and the third party shall return the property unconditionally to THE LESSOR. 乙方应按时支付因租用该出租房屋而产生的有关费用,包括:水费、电费、煤气费、暖气费、存车费、电话费和有线电视收视费、物业管

理费、发票税金等费用。如经甲方催促,乙方仍欠交费用,超过15天,甲方有权收回房屋,并由乙方承担一切违约责任。

:The damage of the premises or the fittings that is within the control of THE LESSEE shall be borne by THE LESSEE,

and THE LESSEE shall contact the management office or THE LESSOR instantly. If THE LESSEE refuses to compensate or to contact the management office to repair, THE LESSOR shall have the right to repair and charge the cost from THE LESSEE. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood, non-man-made fire, etc.), reasonable wear and tear or by accidents beyond THE LESSEE_s control, should be borne by THE LESSOR.

因乙方使用不当,房屋及其内的设施出现损坏,乙方应及时联络管理机构进行维修,并负担有关维修费用。若乙方拒不维修或赔偿,甲方有权代为维修,维修所需费用由乙方承担;但由于不可抗力,如地震、台风、洪水、非人为的火灾等,自然损耗或乙方以外的原因造成的损坏,由甲方承担有关费用。

:THE LESSEE, upon written permission of THE LESSOR, may make additions or alterations dealing with water, electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of THE LESSOR. No structural alterations can be removed from the premises, upon expiration or termination of this contract. No reimbursement for said additions, and any structural damage to the premises must be repaired or compensated by THE LESSEE.

租赁期内,乙方对出租房屋进行装修或增加设施须征得甲方同意并经政府有关部门批准,并由甲方执行监理,所需费用由乙方承担。双方解约时,乙方不能移走自行添加的结构性设施,甲方亦不必对上述添加设施进行补偿。如损坏原有之设施,由乙方负责修复或赔偿。

:In case there is a cut of water, power or any other hitch which is caused by the accident beyond the control of THE LESSEE, THE LESSOR shall take the responsibility to assist and push the authorities concerned to repair and resume it as soon as possible.若由于甲方以外原因导致出租房屋停水,停电或其他故障,甲方有义务敦促并协助有关部门抢修,使之尽快得以恢复。

:THE LESSEE shall not store in or out of the premises any inflammable or dangerous thing, nor let any corrosive or dirty thing come out of the premises.

:Insurance: THE LESSOR will retain insurance on his property and belongings, and THE LESSEE will be responsible for his own property brought into or kept in proximity of the premises. If there is anything lost, THE LESSOR shall assist to conduct investigations, but has no responsibility to compensate it.

乙方须负责好自己带来的财物,妥善保管,如有意外,甲方可协助调查,但不负责赔偿。

:THE LESSEE shall return the property intact to THE LESSOR at the expiration of the contract if there is no renewal thereupon. THE LESSOR shall have the right to take any effective measures to take back the premises in case that THE LESSEE refuses to move out at the expiration of the contract.

Force Majeure:

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

18 仲裁:在履行协议过程中,如产生争议,双方应友好协商解决。若通过友好协商未能达成协议,则提交中国国际贸易促进委员会对外贸易仲裁委员会,根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的,对双方均有约束力。仲裁费用,除另有规定外,由败诉一方负担。

Arbitration

All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

To be packed in new strong wooden case(s) suitable for long distance air/land transportation and well protected from dampness, moisture, shock, rust and rough handling. The Sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage and break damage attributable to inadequate or improper protective measures taken by the Sellers, and in such case or cases any and all losses and / or expenses incurred in consequence thereof shall be borne by the Sellers. One full set of service and operation manuals concerned shall be enclosed in the case(s). The wood packaging the Seller used shall be fumigated and marked with “IPPC” on the surface of wood packaging.

Certificate of origin in 1 original and 1 copy issued by Seller.

6. 货物装运后24小时内卖方发给买方装运通知传真复印件一份。

Copy of fax from seller to the buyer advising the particulars of shipment within 24 hours after shipment is made.

7. 保险单或保险证明一正一副,按照合同金额110%投保一切险及战争险。

Seller’s Certificate in 1 original certifying IPPC has been marked on surface of the wooden cases / seller’s Certificate certifying no wood package is used in the shipment.

(15) 装运通知:SHIPPING ADVICE:

The Sellers shall fax to the Buyer the Readiness Notification one week before the goods to be shipped.

卖方在发货前一周物向买方传真货物备妥通知。

The Sellers shall, immediately upon the completion of the loading of the goods in 24 hours, send the Buyers Air Waybill, Invoice and Packing list by fax.

装运通知:卖方应在货物装运完毕后24小时内用传真将空运单、发票和装箱单发给买方。

如卖方未按时向买方通知上述装运情况所导致损失由卖方承担。

Losses shall be borne by the Sellers in case the Sellers don’t inform the Buyers of the above shipping status on time.

(16) 质量保证:GUARANTEE OF QUALITY:

卖方保证订货系用最上等的材料和头等工艺制成,全新的,未曾使用过的, 并完全符合本合同规定的质量、规格和性能。卖方并保证本合同订货在正确安装、正常使用和维修的情况下,自安装之日起十二个月或货物装运之日起十五个月内运转良好,以先到期者为准。由于人为造成的、易损易磨件除外。

The Sellers shall guarantee that for a period of 12 months calculated from the date of installation or 15 months starting from the date of shipment, whichever is the earlier. Faults due to mal-operation as well as wear and tear parts are excluded.

(17) 迟交货及罚款:LATE DELIVERY AND PENALTY

除合同第16条人力不可抗拒事故外,如卖方不能按合同规定的时间交货,买方应同意卖方支付罚款的条件下延期交货。罚款可由议付银行在议付货款时扣除,罚款率按每7天收,不足7天时以7天计算。但罚款不得超过迟交货物总价的5%。如卖方延期交货超过合同规定10周时,买方有权撤消合同,此时,卖方仍应不迟延地按上述规定向买方支付罚款。

买方有权对因此遭受的其它损失向卖方提出索赔。

Should the Sellers fail to make delivery on time as stipulated in the Contract, with the exception of Force Major causes specified in Clause 16 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery, the rate of penalty is charged at for every seven days, odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay. The buyer shall have the right to lodge a claim against the seller for the losses sustained if any.

(18) 检验和索赔: INSPECTION AND CLAIMS:

如发现货物的品质、数量/重量与本合同不符, 买方有权在货物到达目的地后60天内根据_出入境检验检疫局出具的商检证书向卖方提出索赔。由承运人和保险公司负责的赔偿除外。

If the quality and/or quantity/weight be found not in conformity with the present contract, the Buyer shall be entitled to lodge claims with the Seller on the basis of the Certificate issued by China Exit and Entrance Inspection and Quarantine Bureau within 60 days after the goods arrival in the destination. With the exception, however, of those claims for which the carrier and/or insurance company are to be held responsible.

(19) 人力不可抗拒事故:FORCE MAJEURE:

由于人力不可抗拒事故,而卖方交货延迟或不能交货时,责任不在卖方,但卖方应立即将事故通知买方,并于事故发生后十四天内将事故发生地政府主管机关出给的事故证明书用空邮寄交买方为证,并取得买方认可。在上述情况下,卖方仍负有采取一切必要措施从速交货的责任。如果事故持续超过十个星期买方有权撤销本合同。

The Sellers shall not be held responsible for any delay in delivery or non-delivery of the goods duo to Force Majeure. However, the Sellers shall advise the Buyers immediately of such occurrence and

within fourteen days thereafter, shall send by airmail to the buyers for their acceptance a certificate

issued by the competent government authorities of the place where accident occurs as evidence

thereof. Under such circumstances the Sellers, however, are still under the obligation to take all

necessary measures to hasten the delivery of the goods. In case the accident lasts for more than ten

weeks, the Buyers shall have the right to cancel this Contract.

(20) 仲裁:ARBITRATION:

凡因执行本合同所发生的或与本合同有关的一切争议,应由双方通过友好协商予以解决,应提交中国国际经济贸易仲裁委员会根据中国国际经济贸易仲裁规则进行仲裁,仲裁裁决是终局的,对双方都有约束力。

All disputes arising from the execution of or in connection with this contract, shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation the case shall then be submitted to China International Economic and Trade Arbitration Commission in Shanghai arbitration in accordance with The Rules of Arbitration of China International Economic & Trade Commission. The award rendered by the said commission shall be final and binding upon both parties.

(21)通知 NOTICE

所有通知用中/英文写成,按照合同所列地址用传真/快递送达给各方。如果地址有变更,一方应在变更后3日内书面通知另一方。

All notice shall be written in Chinese or English and served to both parties by fax/courier according to the addresses shown in this contract. If any changes of the addresses occur, one party shall inform the other party of the change of address within 3 days after the change.

(22) 其他 MISCELLANEOUS

本合同一式二份,买方执一份,卖方执一份,由双方代表正式签字盖章生效。

The present contract is in three copies of the same form, the buyer holds two; the seller holds one. The contract is signed by the authorized representative of both parties and shall become effective upon the formal and mutual signing and stamping of the contract.

During the lease term, the electricity consumed in the Premises shall be paid by Party B to the Management Department in accordance with the actual consumption appeared on the bill of the Management Department. Party B shall pay for the electricity consumed in the Premises during the Grace Period

七、支付方式

Payment:

Upon expiration of the Lease Agreement, if the Lease Agreement is not to be renewed, Party A shall refund the deposit without interest to Party B within thirty (30) days after the expiration of this Lease Agreement. If there is any default penalty or compensation or expenses incurred due to the breach of Party B and/or any due amount that Party B fails to pay, Party A may deduct such default penalty or compensation or expenses or due amount from the deposit.

在本合同期限内,如有任何应由乙方支付的违约金、赔偿金、费用和/或其他应付款项,甲方可直接从保证金中予以扣除,乙方应在接到甲方书面通知后五(5)天内补足该部分保证金。

During the lease term, if there is any default penalty, compensation or expense and/or any other due amount that shall be paid by Party B, Party A may deduct such amount from the deposit and Party B shall, within five (5) days after Party A so notifies.

十、大厦及承租区域的交付状态:

The state of the Premises when delivery :

甲方按现状交楼,具备办公条件。

Party A will deliver the Premises at as-it-is basis, which satisfies the conditions as office.

十一、甲方的权利义务:

Party A‘S RIGHTS AND RESPONSIBILITES:

甲方在本租赁合同规定的期限内将房屋交付乙方。

Party A shall deliver the Premises to Party B within the term specified herein.

甲方保证是房屋的合法权利人,有充分的权利出租房屋。

Party A shall ensure that it is legal owner of the Premises and have full right to lease the Premises.

甲方的权利保留Party A may reserve the following rights.

使用公共设施;to use the public facilities;

进入房屋内对公共设施进行检查和维修。甲方行使该项权利时,应提前通知乙方,紧急情况除外。

to enter into the Premises for check and maintenance provided that Party A shall inform Party B in advance except under emergency.

在发出通知后(紧急情况除外),有权暂停大厦设施进行维修和维护,可能导致水电的中断。甲方无需为此承担责任。

To repair and maintain the facilities of the building which may result in the suspension of water and electricity, upon a notice (except under emergency) without any liability thereof.

甲方应协助提供乙方提供办理工商营业执照所需相关证明文件。

Party A shall assist Party B in registering with industrial and commercial administration by provide necessary documents.

甲方在承租期内促使物业管理机构提供水、电、空调、供暖及日常房屋维修。

Party A shall procure the Management Department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period.

如在租赁期届满前两个月,乙方未提出续租请求,或者虽然提出续租请求,但双方在三十天内未就续租合同条款达成一致,甲方有权在工作时间带领其他租户进入房屋查看。

If Party B does not submit an application for renewal two months prior to the expiration of this Lease Agreement, or if Party B submits such application but the parties fail to reach agreement on the renewal, Party A shall have the right to enter the Premises with other tenant at work hours to review.

十二、乙方的权利和义务

Party B‘S RIGHTS AND RESPONSIBILITES:

自行负责房屋的装修和设施。

Party B shall be responsible for the decoration and facilities of the Premises.

除非经消防局及甲方同意,乙方不得对房屋的主要结构及装置(包括喷淋头)作任何变动、拆除或调整。如乙方擅自做任何变动,应负责将其恢复原状并承担一切费用和相关责任。

Party B shall not alter, change, dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of Party A and fire control authority. If Party B makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all expenses and related liabilities.

乙方应根据本合同第六、七、八条的规定按时缴纳租金及各项相关费用。

Party B shall pay the rent and other fees pursuant to Clauses 6, 7, and 8 on time.

乙方应按本合同的规定合理使用房屋,并保持房屋的清洁。

Party B shall reasonably use the Premises as provided hereunder and keep it clean.

未得到甲方及大厦管理机构的事先同意,乙方不得在窗外、外墙、

公共走廊墙面、电梯间及其它共用区域悬挂、张贴、附置或以其它方式放置任何广告、标识、招贴或其它资料。

Party B shall not hang, affix, or display any advertisement, signboard, poster or any other materials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of Party A and Management Department.

乙方在承租期内不得将全部或部分房屋转租、分租或借予第三方。

During the lease term , Party B shall not sub-let or assign the lease to any third party.

乙方在其经营活动中,不得宣称或令顾客误认为其与甲方关系属合作、合营、合伙、联营或关联企业关系。

Party B shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with Party A during its operation.

乙方应自行获取依据法律法规和政府有关部门规定应具备的所有许可、批准和证照,保证其营业活动的合法性。

Party B shall be responsible for obtaining all approvals, consents and licenses required by laws to ensure that its operation is legal.

乙方应自行承担由于乙方工商注册、税务登记、迁址等行为所产生的税、费。

Party B shall be responsible for any and all taxes, fees and expenses incurred for its industrial and taxation registrations and moving into the Premises.

对于第三方因乙方对其造成或在房屋内发生的人身伤害或经济损失而提出的索赔,乙方应自行负责并保证甲方免于此类索赔。如甲方因此类索赔而遭受损失,乙方保证进行赔偿。

Party B shall be responsible for and hold Party A harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by Party B or caused in the Premises. Party B hereby warranties that it shall indemnity Party A for any losses caused to Party A by such claims.

乙方不得在房屋内放置易燃、易爆的物品其他危险物品。

Party B shall not keep or store in the Premises any flammable or explosive substances or other dangerous substances.

乙方应严格遵守甲方和/或大厦物业管理机构制定并不时修改的大厦所有管理规定。

Party B shall strictly comply with all rules made and amended from time to time by Party and/or the Management Department.

乙方不得在房屋内从事任何违法活动。

Party B shall not carry out any illegal activity in the Premises.

乙方不得将房屋用于除办公以外的用途。

Party B shall not use the Premises for any purpose other than as office.

若乙方以租赁房屋作为其公司注册地址时,乙方应在租赁合同终止后15日内办理地址注销登记手续,乙方逾期办理的,应每日按月租金千分之三的标准向甲方支付滞纳金,造成甲方损失的,应予以赔偿。

If the Premises is used as company‘s registered address of Party B, Party B shall complete the procedures of writing off the registered address within 15 days after termination of the contract. If Party B is not able to complete the procedures on time , it shall pay Party A a penalty equal to 3‰ of the monthly rent per day of delay. Party B shall compensate for such loss.

十三、违约责任与合同终止

BREACH AND TERMINATION

违约

任何一方违反合同给另一方造成损失的,应当进行赔偿。

If a party is in breach of this Lease Agreement, it shall compensate the other party for any losses cause by its breach.

在下列任何情况下,本合同终止

This Lease Agreement will be terminated under any of the following conditions:

租赁期限届满:

The expiration of this Lease Agreement

当一方违反本合同中任何规定,并且另一方书面通知要求其予以纠正的三十(30)日内未能纠正违约行为或者如果该违约是无法纠正的,守约方有权立即终止本合同。

by one of the Parties, with immediate effect, when the other Party is in breach of this Lease Agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach sends a written notice requesting the cure of such breach;

甲方可以提前六十(60)天的书面通知提前终止本合同,但应双倍返还乙方保证金。

Party A may terminate this Lease Agreement with a sixty (60) day prior written notice provided that it shall refund the deposit in double amount.

如乙方延期支付租金和/或其他各项款项超过十(10)日,甲方有权解除合同,保证金不予退还。乙方除应支付延期款项外,还应支付逾期付款违约金,数额延期支付金额的日,直至乙方全额付清为止。

If Party B delays the payment of rent and/or other amounts for ten (10) days, Party A shall have the right to terminate this Lease Agreement and the deposit shall not be refunded. Party B shall pay a default penalty for the overdue amount at the rate of of the overdue amount per day until it pays in full amount, in addition to pay all the overdue amounts.

如乙方不遵守大厦管理规定并严重影响其他租户正常经营,甲方可以书面通知乙方提前终止本合同,并且保证金不予返还。

If Party B does not comply with the management rules of the building and therefore seriously affects the normal operation of other tenants, Party A may terminate this Lease Agreement in advance with a written notice and the deposit shall not be refunded.

如乙方在房屋内从事任何违法活动或未按照办公用途使用房屋,甲方有权立即书面通知乙方提前终止本合同,保证金不予返还。

If Party B carries out any illegal activity in the Premises or use the Premises for other purpose than office, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.

如乙方将房屋分租或转租第三方,甲方有权以书面通知立即终止合同,并且保证金不返还。

If Party B sublets or assigns the lease to a third party, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.

不可抗力Force Majeure

一方因不可抗力事件连续六十天(60)不能履行义务,任何一方可以书面通知终止本合同,在不可抗力的影响范围内受影响的一方不承担违约责任。“不可抗力”包括自然灾害、爆炸、飞行物体坠落、政府行为(但专门针对受影响一方的行政行为除外)等受影响的一方不能预见、不能控制并且不可避免的事件。双方在此明确但商业性风险不应作为不可抗力。受影响的.一方应在不可抗力事件发生后的五(5)日内书面通知对方,并且应附有有权机构出具的不可抗力发生的证明。

Either Party may terminate this Lease Agreement with a written notice if one party is not able to perform its obligations hereunder for consecutive sixty (60) days due to force majeure. The affected party shall not bear the liability of breach of contract to the extent of the effect of the force majeure. Force Majeure shall include such events that the affected party is not able to foresee, control and avoid as natural disaster, explosive, falling of flying objects, government action (except those specially against the affected party) The parties hereby confirm that commercial risk shall not be deemed force majeure. The affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.

一方进入破产、清算、解散或任何类似程序,另一方可以终止本合同,但以善意管理费用或合并为目的的除外。

One party may terminate this Lease Agreement if the other party launches the bankruptcy, liquidation, winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation.

13. 3 合同终止的后果 The result of the termination

如本合同届满并且未由乙方续租,乙方须于届满之日的17点之前腾空房屋;如本合同因任何原因提前终止,乙方应于终止日后的三日内腾空房屋。如乙方未能在此期间腾空房屋,由乙方应按日支付房租,逾期十日以上(包括十日),乙方应按双倍房租支付。如因此给甲方造成经济损失(包括因未能向下一租户及时交付房屋而导致的违约金和租金收入),还应赔偿损失。

If this Lease Agreement is expired without the renewal of Party B, Party B shall vacant the Premises by 5pm on the date of expiration; if this Lease Agreement is terminated in advance for whatever reason, Party B shall vacant the Premises within three (3) days after the termination date. If Party B fails to vacant the Premises within the aforesaid period, it shall pay rent for each day of delay. If the delay is over ten (10) day (inclusive), Party B shall pay the rent in double amount. If there is any economic loss caused to Party A including the penalty for not delivering the Premises to next tenant on time and rent loss, Party B shall compensate such loss.

乙方还应拆除装修和清理房屋(甲方同意保留装修的除外),以甲方交付之时的状态或双方共同认可的状态将房屋交还甲方(正常损耗除外)归还房屋时留在房屋内的所有设施、装修及物品均视为乙方放弃所有权,甲方可随意处置。如乙方未将房屋恢复原状,甲方可自行恢复原状,乙方需支付全部费用,可由甲方从保证金中扣除。

Party B shall also dismantle the decoration (Except for the decoration that Party A agrees to retain)and clean the Premises so that the Premises will be returned to Party A in the same condition as when delivered to Party B or (fair tear and wear is excepted) Party B shall be deemed waiving the title of all facilities, decoration and staff left the Premises when the Premises is returned to Party A and Party A may dispose them in any way. If Party B fails to restore the Premises to the condition of delivery, Party A may restore the Premises to the condition of delivery and Party B shall bear all expenses thereof, which may be deducted from the deposit by Party A.

除因乙方违约造成合同终止的情况以及本合同有不同规定的情况以外,甲方应将保证金返还乙方。

Party A shall refund the deposit to Party B except the termination is caused by the breach of Party B and otherwise provided hereunder.

乙方应支付全部应付费用,包括房租、水电费、电话费等。

Party B shall pay in full amount all the due payment including rent, water and electricity fee and telephone call charge.

双方应按下列程序进行交接房屋。

The parties shall take over the Premises in accordance with the following procedure.

十四、附则

争议的解决 Dispute Resolution

因执行本合同或与本合同有关的一切争议,双方应通过友好协商解决。协商不成的,则任何一方有权将争议提交北京仲裁委员会仲裁裁决。仲裁程序应遵照仲裁委员会的现行仲裁规则进行。仲裁期间,双方应继续执行本合同不涉及争议的部分。

Any disputes arising from the execution of or in connection with this Lease Agreement shall be settled through friendly consultations between the parties. In case no settlement can be reached through consultations, such dispute shall be submitted to Beijing Arbitration Committee in accordance with its Rules. During the arbitration, the Parties shall continue to perform the part of this Lease Agreement not under dispute.

合同的修改The amendment of this Lease Agreement

对本合同只可通过双方书面修改。

This Lease Agreement may be changed only by a written instrument signed by parties.

可分性 Severability

本合同任何条款无效,不影响其他条款的效力。

The invalidity of any part of this Lease Agreement shall not affect the validity of other clauses.

文字

本合同以中文签署。英文文本只做参考,不具有法律效力。

全部协议 Entire Agreement

本合同有其附件构成双方之间就本合同所涉事项达成的全部协议,取代双方此前就合同事项达成的所有口头和书面协议。

This Lease Agreement constitutes the entire contract between the Parties with respect to the subject matter of this Lease Agreement and supersedes all prior understandings between them on such subject matter.

通知 Notice

任何一方根据本合同发出的通知或其他联系应以中文书写并应通过专人送递或挂号邮寄或以公认的快递服务或以传真(应当有发送成功的报告)发送至另一方的下述地址。通知视为有效送达的日期按以下方法予以确定:

Any notice provided for in this Lease Agreement shall be in Chinese and shall be delivered by person, or sent by prepaid registered mail or courier, or sent by facsimile with the confirmation of successful transmission by the fax machine, transmitted or addressed to the appropriate party‘s following address. The notice shall be deemed served on the following date:

专人投递的通知,视为于投递之日送达;
